NOTICE IS HEREBY GIVEN that by an Order dated December 17. 1980, the High Court of New Zealand .has directed separate meetings of the holders of: (i) The 5i% Preference Shares of the Company; and (II) The Ordinary Shares of the company respectively to be convened for the purpose of considering, and if thought fit. approving (with or without modification) a Scheme of Arrangement proposed to be made between the Company and the holders of its said respective classes, of shares, such meetings to be held at the BP Theatrette. NOTICE IS HEREBY GIVEN that an EXTRAORDINARY GENERAL MEETING of the Comnanv will be held at the BP Theatrette, Ground Floor. BP House, corner Customhouse Quav and Johnston Street. Wellington, on February 26, 1981. at 2.45 p.m. (or so soon thereafter as the preceding meeting of the holders of the Ordinary. Shares of the Company shall have been concluded) for the purnose of considering and, if thought fit. passing the following Resolutions which will be proposed as Special Resolutions: — THAT (a) The Scheme of Arrangement dated the 15th day of December, 1980, between the Company and its members, a print of which has been submitted to this meeting and signed for the purpose of Identification by the Chairman hereof, be and is hereby approved: and (b) For the purpose of enabling effect to be given to the Schema of Arrangement, and subject to the same being sanctioned by the High Court of New Zealand, the authorised capital of the Company be reduced from $25,000,000.00 to $23,000,000.00 and the issued capital of the Company be reduced from $19,000,000.00 to $17,000,000, and such reduction be effected by payment to the holders of the 1,000,000 fully paid $2.00 5i% Cumulative Preference Shares of the sum of 81.20 for each share held and by cancelling all of the said Preference Shares.
