This Company lias been formed for the following purposes:— (1) To acquire and carry on tho business ol Messrs Grundy and Sliennan, of Gisborno, Cabinet-makers, Upholsterers, Carpet Salesmen, and Furniture Warehousemen. (2) To acquire and undertake tho wliolo or any part ol the business, goodwill, assets, property, rights, or undertaking of any person, firm, or company carrying on or having power to carry on any business as Cabinetmakers, Upholsterers, Carpet Salesmen, Ihirniture Warehousemen, or the like, which this Company lias power to carry- on under its Memorandum of Association. (3) And, as sot out in tho Memorandum of Association, a copy whereof forms part of this Prospectus. 7 Tho names and addresses of tho Vendors of the said business of Grundy and Sheuuan, being the proporty now proposed to bo purchased or acquired bv the Company, are:— ERNEST GRUNDY, of Whataupoko, Cabinetmaker GEORGE VINCENT SHENNAN, of Gisborno, Upholsterer. 8 Tho amount to bo paid to tho said Ernest Grundy and George Vincent Skeunan, as such Vendors, is the sum of £3OO for the goodwill of the said business and tho leasehold property of Messrs Grundy and Shennan, to bo paid in 300 fully paid-up shares in the said Company, and a further sum representing the stock-in-trade, plant, book debts, and furniture belonging to tho said lirm of Grundy and Shennali, to bo ascertained by a valuation to be made as at the date when the Company shall be entitled to commence business, is to be paid to the said Ernest Grundy and George Vmcent Shennan for such stock-in-trade, plant, book debts, and furniture. Such consideration shall bo paid to tho Vendors in the following proportions namclv:—For the goodwill, leasehold properties, stock-in-trade, plant furniture, and book debts, as at the 30th day of June, 1907, in tho proportion of twenty-two forty-sevenths to the said Ernest Grundy, and twenty-five forty-sevenths to tho said George Vincent Shennan, and for any increased value in the said business since tho said 30th day of June, i 907 up to the date when the Company is entitled to commence business, in the proportion of three-fifths to the said Ernest Grundy and two-fifths to the said Goorgo Vincent Shennan. 9 Tho preliminary expenses of and incidental to the formation and establishment of the Company and until the Company shall be entitled to commence business aro estimated to amount to £SO, and will bo borne by the Company. 10 Tho Company has agreed to pay a commission at tho rate of £5 per centum on all shares subscribed in lots of 200 or under, and £2J per cent, on all shares subscribed in lots of more than 200. 11. Mr. Ernest Grundy and Mr. George Vincent Shennan, Managing Directors, aro interested in the promotion of and in tho property proposed to be acquired by the Company to tlio extent only of their interests as Vendors under the contract, particulars of which are given in Clause 8 hereof. 12. A Director’s qualification shall' be 50 shares. Tho Directors shall be paid out of the funds of the Company, by way of remuneration for their services such sum or sums as tho Company may from time to time fix at a genoral meeting, and such remuneration shall bo divided among6t them in such proportion and manner as tho Directors may determine. 13. Tho stock-sheets and balance-sheet of Messrs Grundy and Shennan, copios of the Memorandum and Articles of Association of the Company, and of tho Contract referred to’in Paragraphs No. 6 hereof, can be inspected at the offices of Messrs Clirisp and Coleman, the Company’6 Solicitors, Lowe Street, Gisborne, during business hours. 14. Applications for shares should bo made upon the necessary form, and sent to Mr, C. G. Pi esse, Interim Secretary, together with the amount payable on application. Copies of the Prospectus and forms of application for shares may bo obtained at the office of Mr. C. G. Piesse, Adair’s Buildings, Lowe Street. 15.
