Mr. Hailey has undertaken, should the Company reouire his services, to act as manager lor the Company for 12 months, and has also entered into a covenant with tlio Company not to enter into competition with the Company either on his own bobalf or as servant or agent or otherwise within a radius of 50 miles from Gisborno. With a capable manager, an up-to-date plant, and no fear of bad debts, the Directors are confident that the business can be made a highly successful ono. It will bo their aim to oxtend the benefits of co-operation to all branches of tho community, and if the public assist by subscribing for shares and supporting the Company, tlio Directors feel confident that they can by way of dividends and bonuses materially lossen to shareholders the cost of tho “staff of life.” To comply with tho Provisions of “The Companies Act, 1903,” tho following matters are set out:— (a) A copy of tho Memorandum of Association with the names, addresses, and descriptions of the signatories and tho number of shares subscribed for by them respectively is printed 'at the end hereof, and forms part of tho prospectus. (b) Tlie number of shares fixed by the Articles of Association as tlio qualification of a Director is ten. The Directors may appoint a Managing Director, and fix his remuneration (o) Tlie names, addresses, and descriptions of tlio proposed Directors aro set out at tho boginning of this Prospectus. . (d) The minimum subscription on which the Directors may proceed to allotment is fixed at 1000 shares. Tho amount payable on annlication and allotment aro hereinbefore sot out. (c) It has been agreed to issue 50 fully-paid up shares and 750 debentures, which aro tlio shares and debentures horeinbeforo referred to and agreed to be taken by the Vendor in part consideration of the purchase moneys. (f) Tho Company proposes to purchases the leaso and business as a going concern of Arthur Percy Hailey, and to pay for tho same partly out of the proceeds of tho issuo offered for subscription by this Prospectus. The amounts payable in cash, shares and debentures to tho Vendor are hereinbefore set out. (g) The amount payable as purchase money in cash, shares, and debentures for such property as aforesaid, including goodwill, has been hereinbefore sot out. (h) Tho Company has agreed to pay a commission at tho rate of £o per cent to the broker on all shares subscribed for. (i) The preliminary expenses of and incidental to the formation and establishment of tho Company and until the Company shall be ontitlod to commence business are estimated to amount to £75, and will bo borne by the Company. (j) The Vendor will pay Mr C. G. Piesso for his services in tho promotion of the Company the sum of 50 guineas. (k) Tho contract for sale to tlio Company of the property of the said Arthur Percy Hailey and the stock-in-trade, plant, machinery and other assets (excepting book debts) before enumerated is dated the 13th day of August, 1908, and is made between the said Arthur Percy Hailey of the one part and Harold Ernest Bright as Trustee for and on behalf of tho Company of the other part. Such contract and copies of tho Memorandum and Articles of Association of tlie Company and of the Lease, Sub-Lease, and Agreement referred to in this Prospectus can be inspected at the offices of the Company’s Solicitors, Messrs Rees Brothers and Bright, Lowe Street, Gisborno, during business hours (.1) The names and addresses of the auditors aro set out at the commencement of this Prospectus. (m) Mr. Arthur Percy Hailey, Director, is interested in the promotion of and in tlio property proposed to bo acquired to the extent only of hi s interest as Vendor under the contract,particulars of which are hereinbefore given, and none of the otlior Directors ' linvo -any interest therein. - (n) This Prospectus is dated tho 13th day of August, 1908, and is signed by the persons named therein as Provisional Directors.
